(“Company,” “we,” “us,” or “our”), concerning your access to and use of our product, RuyiX Studio, and related services (collectively, the “Service”). By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you are prohibited from using the Service.

The Service utilizes large language models (LLMs) to interpret and execute instructions written by the user in a natural language style.

3. 用户账户 3. User Accounts

注册：要使用本服务的某些功能，您可能需要注册一个账户。您同意在注册过程中提供准确、最新和完整的信息，并更新这些信息以保持其准确性。 Registration: To use certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.

  • 干扰或试图干扰服务的正常运行或任何用户的服务使用。Interfere with or attempt to disrupt the proper functioning of the Service or any User's use of the Service.

5. 用户生成内容 5. User-Generated Content

您的所有权：您保留对您通过本服务创建、上传或执行的所有 RuyiX 脚本、数据和内容（统称为“用户内容”）的所有权和任何知识产权。 Your Ownership: You retain ownership of and any intellectual property rights in all RuyiX Scripts, data, and content that you create, upload, or execute through the Service (collectively, “User Content”).

This license is limited to the duration of your use of the Service and terminates when you delete your User Content or terminate your account.

This license is optional, and you may manage your consent preferences in the Service settings.

6. 知识产权 6. Intellectual Property Rights

除您的用户内容外，本服务及其所有材料，包括但不限于软件、图像、文本、图形、徽标、专利、商标、服务标志和版权（“公司财产”），以及与之相关的所有知识产权，均为 Wisewk Inc. 及其许可方的专有财产。 Other than your User Content, the Service and all materials therein, including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, and copyrights (the “Company Property”), and all Intellectual Property Rights related thereto, are the exclusive property of Wisewk Inc. and its licensors.

7. 终止 7. Termination

我们可能因任何原因（包括您违反本条款）随时暂停或终止您对本服务的访问，恕不另行通知。您可以通过删除您的账户随时终止本协议。终止后，您使用本服务的权利将立即停止。 We may suspend or terminate your access to the Service at any time, for any reason, including for your violation of these Terms, without prior notice. You may terminate this agreement at any time by deleting your account. Upon termination, your right to use the Service will immediately cease.

DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. 责任限制 9. Limitation of Liability

在任何情况下，WISEWK INC.、其董事、员工或代理人均不对因您使用本服务而产生的任何直接、间接、偶然、特殊、后果性或惩罚性损害负责，即使我们已被告知可能发生此类损害。我们在本协议项下的总责任上限为您在导致索赔的事件发生前十二（12）个月内就本服务向我们支付的总金额或一百美元（$100.00），以较高者为准。 IN NO EVENT SHALL WISEWK INC., ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL BE LIMITED TO THE GREATER OF THE TOTAL AMOUNT PAID BY YOU TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100.00).

您同意就因您使用本服务、您违反本条款或您侵犯任何第三方权利而产生的任何及所有索赔、损害、义务、损失、责任、成本或债务及开支（包括但不限于律师费），为 Wisewk Inc. 及其员工、承包商、代理人、高级职员和董事进行辩护、赔偿并使其免受损害。 You agree to defend, indemnify, and hold harmless Wisewk Inc. and its employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use of the Service, your violation of these Terms, or your violation of any third-party right.

11. 管辖法律 11. Governing Law

本条款应受美国特拉华州法律管辖并据其解释，不考虑其法律冲突规定。您同意接受位于特拉华州的法院的个人管辖。 These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Delaware.

12. 条款变更 12. Changes to Terms

我们保留随时自行决定修改或替换本条款的权利。如果我们进行重大修订，我们将通过在我们的网站上发布更新后的条款或通过服务内的通知来通知您。 We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide notice by posting the updated terms on our website or through a notification within the Service.
